These General Terms and Conditions apply to the free trial phase and the paid use of Turnoly.
Turnoly’s offer is aimed exclusively at entrepreneurs within the meaning of § 14 BGB as well as at legal entities and legally qualified partnerships. Contracts with consumers within the meaning of § 13 BGB are not concluded.
Individual agreements take precedence over these Terms and Conditions.
2. Services and responsibility for planning
Turnoly is a cloud-based SaaS application for shift planning, employee management, time tracking and related organizational functions. The single plan includes all features for one organization with up to 100 employees.
Turnoly is a software and planning tool. The customer remains responsible for the actual personnel and shift planning and for compliance with the requirements applicable to his operation. This includes in particular labour law regulations, working time regulations, collective agreements, company agreements and individual employment contracts.
Turnoly does not guarantee that a utility or shift plan created with the Software is automatically legally permitted. Certain economic, organizational or personnel results are not guaranteed.
3. Registration and free trial
Registration starts a free trial of three months. No payment details are required. All features for one organization with up to 100 active employees are included.
Registration does not automatically lead to a paid subscription. Even after the end of the test phase, there is no automatic payment obligation. Without an active booking of a paid tariff, the regular test use ends; for further access and data, the rules in Section 11 apply.
4. Booking of a paid subscription
A paid subscription only comes through an active order of a paid tariff by the customer via the booking or subscription provided by Turnoly. Stripe checkout process.
Decisive are the prices, services and tariff conditions displayed in the specific booking process. The details of the binding order are displayed there. Mere registration or the end of the test phase does not replace this order.
5. Plan and employee limit
One plan for one organization with up to 100 employees. All features included, cancel monthly.
Up to 100 active employees are included. If the limit is exceeded, existing employee and organization data can generally still be edited. New employees cannot be added and inactive employees cannot be reactivated if this would exceed the limit. The customer can reduce the number of active employees.
There is no choice between multiple plans and no automatic upgrade.
If a significant overrun of the tariff continues despite a notice and a reasonable period for remediation, Oezer Software may reasonably restrict further possibilities of use. Extraordinary termination is permitted only under the conditions of Section 9.
6. Prices and future price changes
After the free trial: 10 € per month for one organization with up to 100 employees. All features included. For other supported currencies, the fixed price displayed at checkout applies. No VAT is charged under Section 19 of the German VAT Act (UStG).
Price changes do not apply retroactively. New prices for future bookings are displayed in the booking process.
A change in the price of an existing subscription will be notified to the customer with sufficient advance notice, indicating the new price and the planned start. The advance must allow the customer an appropriate examination and a termination before entry into force.
A change in the agreed price of an existing subscription requires a corresponding agreement with the customer. Silence does not count as consent. Without agreement, the previous price remains decisive; the right to ordinary termination remains unaffected.
7. Payment processing
Payments are processed via Stripe. The available payment methods as well as the due date of the payments are displayed in the booking process.
The customer must provide correct and up-to-date payment information and keep a used means of payment for payments due accordingly.
Invoices, payment vouchers and billing-related information may be provided or sent electronically.
8. Duration and ordinary termination
Paid subscriptions are billed monthly and can be cancelled by the customer at the end of the current billing period.
The customer cancels via Turnoly → “Manage subscription / cancel” → Stripe Customer Portal. The termination takes effect at the end of the current billing period. Until then, the subscription remains active in principle.
Oezer Software may properly terminate a paid subscription with a period of one month at the end of a billing period.
Legally existing termination rights remain unaffected.
9. Extraordinary termination
The legal right of both parties to extraordinary termination for an important reason shall remain unaffected.
An important reason can exist in particular in the case of significant or repeated breaches of contract, unlawful use, misuse of the platform, attacks on systems, circumvention of technical protection measures or significant, unresolved breaches of tariffs. The legal requirements and the circumstances of the individual case remain decisive.
To the extent required by law or under the circumstances, a termination due to a breach of contract must be preceded by a warning or a reasonable possibility and time limit for remedy.
10. Disturbances in payments and late payments
If due payments are not made, Oezer Software may temporarily restrict paid functions or place the account in a restricted, reading state, insofar as this is proportionate and legally permissible. The circumstances of the individual case and the legitimate interests of the customer are taken into account.
After settlement of open payments, regular access can be restored according to the existing contract status.
A mere payment disruption, by itself, does not trigger the 90-day deletion process described in Section 11. If the subscription is effectively terminated, further access and data retention are determined in accordance with Section 11.
11. Access and data after test phase or end of contract
Test phase without subsequent subscription
After the end of the three-month trial phase without a subsequent subscription, access is generally switched to a restricted, reading state. The organization and the associated customer data are generally kept for 90 days from the end of the test phase.
Ended Paid Subscription
Until the end of the paid billing period, the regular use remains in principle. Subsequently, the changeover to a restricted reading state basically takes place. The organization and the associated customer data are generally kept for 90 days from the effective end of the contract, i.e. the end of the last billing period.
Cancellation and reactivation
After expiry of the respective retention period, the organization and the associated customer data are generally deleted, insofar as no statutory storage obligations or other legal reasons conflict.
Before the final deletion, a reactivation by conclusion of a new valid subscription is possible in principle, as far as the account and the data are still available.
The customer should back up the required own data in good time before the expiry of the retention period. Available export and security options can be used for this. A data retention beyond the specified period is not guaranteed.
12. Availability and maintenance
Oezer Software strives to ensure an appropriate and as uninterrupted as possible availability of Turnoly. A certain availability quota or a fixed service level agreement is not promised by these Terms and Conditions.
Temporary restrictions may arise in particular through maintenance, security measures, technical malfunctions, necessary updates, malfunctions of external infrastructure or events outside the reasonable sphere of influence.
Planned maintenance measures shall be carried out as far as possible in such a way as to minimise degradation. Substantial foreseeable restrictions shall be notified in advance, as appropriate, where possible. Legal claims in the event of performance disruptions remain unaffected.
13. External service providers
Turnoly uses external technical service providers in particular for hosting and infrastructure, database, payment processing and e-mail shipping.
Oezer Software remains responsible for the fulfilment of its contractual obligations in accordance with statutory regulations. The use of external service providers does not lead to a blanket exclusion of liability.
Disturbances outside the controllable range of influence are adequately taken into account in the provision of the service. The liability provisions in Section 19 and mandatory legal rights remain unaffected.
14. Force majeure
Exceptional events for which neither Party is responsible and which cannot be prevented or overcome by reasonable measures may temporarily affect the fulfilment of the performance obligations concerned. This applies only for the duration and extent of the actual impairment.
The affected party shall, as far as possible, inform the other party in a timely manner and take reasonable steps to limit the impact and resume performance.
The statutory provisions on consideration, reimbursement and termination in the case of services not provided remain unaffected.
15. Customer’s obligations and account security
The customer provides correct required company and account data and keeps them up-to-date. Access data must be treated confidentially; accounts may only be made accessible to authorized persons. Former or no longer authorized users must be deactivated.
Recognizably compromised accesses and security incidents must be reported to Oezer Software immediately. The customer must not use Turnoly unlawfully, not carry out attacks and not circumvent any technical protective measures.
For a reasonable error or security analysis, the customer provides the necessary and available information.
Oezer Software may temporarily suspend vulnerable accounts or sessions if and to the extent necessary and appropriate for the protection of the Customer, other Customers or the Platform. The customer will be informed insofar as this does not endanger the protective purpose. The block shall be lifted as soon as its reason ceases to exist.
16. Intellectual property and right of use
Rights to the software, the source code, the design and other own turnoly contents remain with Oezer Software. the respective rightholders.
For the duration of the contract, the customer receives a simple, non-exclusive and non-transferable right of use to the extent necessary for the contractual SaaS use. This right applies to the registered organization and its authorized users.
A resale, transfer or transfer of the account or contract to third parties generally requires the consent of Oezer Software, as far as permitted by law.
The company and employee data entered by the customer do not become the property of Oezer Software.
17. Data backup
Oezer Software takes appropriate technical and organizational measures to protect the processed data. An absolute guarantee against data loss is not accepted.
Insofar as Turnoly provides export or backup options and this is necessary for the customer, the customer shall additionally back up important data at appropriate intervals.
The contractual protection obligations of Oezer Software and the liability provisions in Section 19 remain unaffected.
18. Data protection
Turnoly processes personal data of employees of its business customers in particular in the context of SaaS use. The customer remains responsible for the legality of the processing initiated by him.
Information on the processing of personal data is contained in the separate data protection declaration. These Terms and Conditions do not replace an order processing contract according to art. 28 GDPR; the processing of orders must be regulated separately.
The Contract Processing Contract
19 Liability
Oezer Software is liable without limitation for intent and gross negligence as well as for culpable injury to life, body or health.
Mandatory legal liability, in particular according to the Product Liability Act, remains unaffected. Likewise, the liability arising from expressly assumed guarantees remains unaffected.
In the case of a slightly negligent breach of essential contractual obligations, liability is limited to the foreseeable, contract-typical damage. Essential contractual obligations are those whose fulfilment only enables the proper execution of the contract and on whose compliance the customer can regularly rely.
In addition, the statutory liability regulations apply. A fixed limit on the amount of liability is not agreed.
20. Further development and functional changes
Turnoly can be developed further. Functions can be changed, supplemented or adapted, as far as this does not unreasonably affect the contractual use.
Substantial changes will be adequately communicated. This Regulation does not permit any arbitrary removal of agreed core functions without replacement. Legal claims of the customer remain unaffected.
21. Planned termination of service
Oezer Software may permanently cease the operation of Turnoly for economic, technical, personal or other factual reasons. Existing contractual obligations and termination regulations are taken into account.
In the event of a planned recruitment, affected customers will be informed adequately in advance. Existing contract periods are taken into account; if already paid services can no longer be provided for remaining periods, the corresponding fees are adequately reimbursed.
Where possible, customers will be given the opportunity to export or back up available own data before the shutdown. Immediate arbitrary disconnection of existing contracts is not permitted under this regulation.
22. Amendments to these Terms and Conditions
Changes to these Terms and Conditions must be objectively justified, for example by changed legal requirements or permissible changes to the performance. Planned changes will be communicated in a comprehensible manner and with reasonable advance notice.
Changes to existing contracts require an agreement with the customer, insofar as they do not follow directly from mandatory statutory provisions. In particular, silence does not count as consent.
In the event of a material change that adversely affects existing customers, they will be given a reasonable opportunity to review and terminate before the intended entry into force. Without the necessary agreement, the previous contractual conditions continue to apply; legal and ordinary termination rights remain unaffected.
23. Applicable law and jurisdiction
German law applies.
The place of jurisdiction is the registered office of the provider in Hanau, insofar as such a place of jurisdiction agreement is legally permissible for the respective contracting parties. Otherwise, the statutory jurisdictions apply.
24. Final provisions
Should individual provisions of these Terms and Conditions be or become ineffective, the effectiveness of the other provisions shall in principle remain unaffected. Incidentally, the legal provisions apply.
